Legal
Every SDRclose legal and trust document in one place.
Legal notice
Each document below lives at its own stable address and is grouped by audience, with its effective date where it is a contract or notice.
Operator
SDRclose is operated by BiopharmaWatch LLC, a United States limited liability company. Legal, privacy and security inquiries reach the SDRclose team through the contact form. © 2026 BiopharmaWatch LLC. All rights reserved.
For customers
These documents form the agreement between BiopharmaWatch LLC and each customer that opens an account.
Terms of Service
The contract for using the service: accounts, plans and credits, billing, intellectual property, warranties, liability and termination.
Data Processing Addendum
Our commitments as processor of the prospect data customers upload, mine and message: security measures, breach notification, sub-processor changes, audit rights and international transfers.
Acceptable Use Policy
The rules for outbound email sent through the service: lawful basis, opt-out handling, content standards, sending conduct and the consequences of a breach.
Sub-processors
The categories of third parties that process customer data for us, the notice period before a new one is added and how to object. The named schedule is available on request.
For everyone
These notices apply to anyone who interacts with SDRclose: website visitors, account holders and people who receive email sent through the service.
Privacy Policy
How we collect, use, share and retain personal data as controller of account data and processor of prospect data, and the rights available in each region.
Cookie Policy
What is stored in the browser, what is not, and which categories of third party receive a visitor's IP address when they serve website assets.
Privacy Center
The starting point for anyone who received an email sent through SDRclose: opt out, ask what is held, or request access, correction or deletion.
Trust and security
For security reviewers and compliance teams evaluating the service.
Security
How customer and prospect data is protected: encryption, authentication protections, backups, logging practices, payment handling and how to report a vulnerability.
GDPR
How the service supports GDPR compliance: the controller and processor split, transfer mechanisms, retention, and how data subject requests are handled.
Status
A live check of the production service, current service notices and the route for reporting a problem.
How the documents fit together
Where the documents overlap or conflict, they apply in this order: a signed order form or enterprise agreement first, then the Data Processing Addendum, then the Terms of Service, then the Acceptable Use Policy, and then the Privacy Policy and Cookie Policy.
The Privacy Policy and Cookie Policy are notices rather than contracts. They describe how personal data is handled and do not impose obligations on customers; the Terms of Service, Data Processing Addendum and Acceptable Use Policy are contractual and bind both parties.
Every contract and notice in the set carries the same effective date. When a document changes, its effective date changes with it and the previous version remains available on request.
Requesting documents
Some documents are not published on the website and are provided through the contact form. Include the company name and, where an account exists, the account email address so the request can be matched to the right agreement.
- A countersigned Data Processing Addendum for customers who need an executed copy.
- The named sub-processor schedule that accompanies the Data Processing Addendum.
- Completed security questionnaires and our security documentation, under NDA where appropriate.
